iMpiya Terms and Conditions
Introduction
These Terms and Conditions (“Terms”) contained on this webpage constitute a legal agreement between you, as a customer or prospective customer of iMpiya’s services, and Netciety Innovation Limited (“iMpiya”, “we”, “our”, or “us”). They govern your access to and use of iMpiya’s services, which include all pages within the iMpiya website, mobile applications, and other related products and services (collectively referred to as the “Services”).
By accessing or using our Services, you agree to be bound by these Terms, including our Privacy Notice, in full and without limitation or qualification. If you do not agree to any of these Terms, you must refrain from using our Services.

The governing language of these Terms and all communications between iMpiya and you shall be English.
Who May Use Our Services
You may use our Services only if you are legally capable of entering into a binding contract with iMpiya and are not prohibited from receiving such services under the laws of Zambia or any other applicable jurisdiction.
If you are accepting these Terms on behalf of a company or organisation, you represent and warrant that you have the authority to do so.
Age Restriction
Our Services are intended for individuals aged 16 years and above. We do not knowingly provide Services to persons under 16.
Intellectual Property
Unless otherwise stated, iMpiya and/or its licensors own the intellectual property rights in all materials provided on our platform. All text, designs, graphics, logos, icons, software, audio, video, and other content (collectively, the “Content”) are protected by copyright, trademark, and other laws of Zambia and international treaties.
You are granted a non-exclusive, non-transferable, revocable license to use our Services solely for your personal or business purposes as permitted by these Terms.
You may not copy, modify, reverse engineer, distribute, display, or exploit our Content without prior written consent.
License to Use Our Website
We grant you a non-exclusive, revocable license to use our Services in accordance with these Terms. This includes any updates, upgrades, or new versions of the software or platform.
You may not use our trademarks, logos, or other brand features without prior written permission.
Information Security and Disclaimer of Warranties
While iMpiya strives to ensure that our Services are secure, available, and free from errors, we provide all Services “as is” and without any warranties — express or implied — including merchantability, fitness for a particular purpose, availability, or non-infringement.
Your use of our Services is at your own risk, and you are responsible for securing your devices with antivirus and protective software.
We require that you enable Two-Factor Authentication (2FA) for account protection. We will not be liable for losses arising from your failure to do so.
Limitation of Liability
To the maximum extent permitted under Zambian law, iMpiya shall not be liable for any direct, indirect, incidental, punitive, or consequential damages, including loss of profits, revenue, data, goodwill, or business opportunities, arising from your use or inability to use our Services.
Indemnification
You agree to indemnify and hold harmless iMpiya, its affiliates, and employees against any claims, damages, losses, or expenses arising from your breach of these Terms or your violation of any law or rights of a third party.
Breach of Terms
If you breach these Terms, iMpiya may suspend or terminate your access to our Services, block your IP address, and/or take legal action.
Cookies
We use cookies to improve user experience and personalise Services. You may choose to disable cookies, but this may affect functionality.
Data Privacy and Protection
iMpiya complies with applicable Zambian data protection laws, including the Data Protection Act, 2021. We handle personal data in accordance with our Privacy Notice. By using our Services, you consent to our data collection and processing practices.
Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Zambia. Disputes shall be subject to the jurisdiction of the courts of Zambia.
Termination
You may terminate your agreement with iMpiya by ceasing use of our Services. We may suspend or terminate your access for any reason, including fraud, breach of Terms, or misuse of the platform.
Restricted and Prohibited Activities
Certain merchant categories require prior approval before using our Services, while others are strictly prohibited.
These include (but are not limited to):
Restricted (Pre-Approval Required): Age-restricted products, financial services, travel booking, marketplace platforms, NGOs, and digital wallets.
Prohibited: Illegal goods/services, gambling, pornography, firearms, counterfeit goods, drugs, pyramid schemes, predatory lending, and any activity violating Zambian law.

Changes to Terms
We may update these Terms from time to time. Changes will take effect upon posting to our website. Your continued use of our Services constitutes acceptance of updated Terms.
